The Department of Innovation & Technology (DoIT) is seeking to hire a highly dedicated and skilled attorney to serve as in-house legal counsel for the State’s lead information technology (IT) agency. This counsel will work with DoIT's Legal team to provide general and specialized legal advice for all administrative and operational functions of DoIT.  As a primary role, this counsel will be responsible for reviewing and negotiating technology contracts with commercial entities for the procurement of statewide IT-related goods and services.  This position will also handle a variety of other legal matters for the agency, including establishing intergovernmental agreements with other public entities, providing legal guidance on regulatory and compliance matters, investigating ethics issues, advising on employee-related legal issues, assisting with agency data breaches and privacy and cybersecurity issues, assisting with proposed legislation and rulemaking, assisting in reviewing solicitations, responding to procurement protests, responding to open records and electronically stored information requests, and advising on laws and policies that affect all areas of the agency. The ideal candidate will have strong organizational and interpersonal skills, excellent written/oral communication skills, extensive understanding of governing rules and policies, and the ability to multi-task in a fast-paced environment. The successful candidate must possess strong collaborative abilities, as this role requires working closely with agency senior leadership, business teams, vendors, procurement staff, opposing counsel, security staff, and DoIT’s client agencies. Job Responsibilities

40% As Legal Counsel, provides general and specialized legal advice and assistance for the administrative and operational functions of DoIT:  

  • Provides legal advice, analysis, representation, and legal policy determinations in matters related to the procurement and compliance obligations of DoIT and other agencies under the jurisdiction of the Governor.  
  • Performs specialized legal work involving various types of information technology (IT) contracts and licensing terms for the statewide procurement of IT-related goods and services.
  • Conducts legal research and presents oral and written analysis to other attorneys and nonlegal personnel regarding a wide variety of complex legal issues impacting the agency. 
  • Drafts, reviews, prepares, advises on, and negotiates contracts, statements of work, amendments, extensions, renewals, and intergovernmental agreements (IGAs), and memorandums of understanding (MOUs) for the agency.
  • Negotiates with vendors on behalf of the State, ensuring that favorable terms and conditions are secured, while maintaining compliance with the State’s legal requirements. 
  • Conducts legal reviews of procurement contracts to ensure all applicable statutory, regulatory, and internal policy requirements are met. 
  • Provides legal analysis and advice to the DoIT Secretary, Vendor Management Office, Fiscal division, Security division, Human Resources division, Legislative Liaison, and business units on a wide variety of legal questions, laws, rules, regulations, policies, and procedures. 
  • Provides legal advice and direction that often has a crucial impact on decisions and actions of DoIT and other agencies under the jurisdiction of the Governor.
  • Works on matters involving data privacy, intellectual property rights, and cybersecurity issues and assists agency with legal issues involving information security incidents and data breaches. 
  • Collaborates and works closely with agency senior leadership, business teams, vendors, procurement staff, opposing counsel, security staff, and DoIT’s client agencies.
  • Maintains strict confidentiality while handling sensitive subject matters in accordance with all related mandates as well as agency policies and procedures.
  • Conducts legal research relating to the contracting process and statutory authority of DoIT and other state agencies and provides legal guidance on the Illinois Procurement Code, State Prompt Payment Act, Business Enterprise Program Act, State Finance Act, Joint Purchasing Act, and all other relevant statutes and rules impacting DoIT.
  • Provides training on legal topics as requested by Senior Counsel, DoIT Secretary, Chief of Staff, Chief Administrative Officer, or General Counsel. 
  • Travels in performance of duties.

15% Provides legal review and guidance on matters involving ethics and compliance:

  • Works with DoIT Legal team and DoIT senior leadership to address and/or resolve employee-related legal issues, Equal Employment Officer matters, Office of the Executive Inspector General (OEIG) requests, ethics inquiries and investigations, and various compliance issues. 
  • Assists in interviewing witnesses and preparing interview summaries.
  • Assists in preparing final investigation reports and ethics-related legal recommendations.

15 % Handles Illinois Freedom of Information Act (FOIA) matters, requests for electronically stored information (ESI), and legal issues related to document storage and record retention:

  •  Reviews and responds to open records requests, provides legal advice on search request problems, assists in preparation of responses, and helps track activities to ensure  compliance with applicable requirements. 
  • Coordinates within DoIT and with other agencies under the jurisdiction of the Governor on issues related to electronically stored information.
  • Assists agency division heads in establishing record retention policies and ensuring compliance with associated laws and processes. 

15 % Assists in reviewing and drafting legislation, regulations, resolutions, procedures, rules, executive and administrative orders, and policies for final review and approval by DoIT          Leadership. 

  • Performs bill analyses for proposed legislation affecting the agency, which includes providing oral and written legal analysis to the Chief of Staff and Legislative Liaison. 
  • Assists in reviewing and drafting administrative rules, security policies, record retention policies, and other agency administrative policies.

10%  Provides legal guidance as needed to ensure all statutory and regulatory requirements are satisfied in resolving any procurement-related and contract disputes: 

  • Assists the DoIT Vendor Management Office as needed in the resolution of contract disputes, including bids, bidding protests, conflicts of interest, and contract controversies. Assists in the review of solicitations and investigation of bid protests and provides legal recommendations to the DoIT Legal team, DoIT senior leadership, and Agency Procurement Officer regarding such solicitations and protests.  
  •  Reviews conflicts of interest (as defined by the Illinois Procurement Code) and if appropriate, prepares required documentation for Governor’s Office review.  
  • Provides suggestions and/or options to assist in the resolution of contract controversies, which may include interaction with vendors, client agencies, the Office of the Attorney General, and the Illinois Court of Claims.

5%   Performs other duties as required or assigned which are reasonably within the scope of the duties enumerated above.  


Knowledge, Skills, and Abilities

Minimum Qualifications
1.    Requires a law degree.  
2.    Requires a license to practice law in the State of Illinois.  
3.    Requires three years of progressively responsible professional experience in legal-related matters.

Preferred Qualifications (In Order of Significance)
1.    Two (2) years of professional legal experience in transactional/contract legal work, such as drafting, reviewing, advising on, and negotiating contracts.  
2.    One (1) year of professional legal experience working on contracts related to information technology (IT) products and services, such as contracts involving licensing terms, cloud-               based/Software-as-a-Service (SaaS) agreements, or other similar agreements.  
3.    One (1) year of professional legal experience serving as in-house counsel in a private or public setting to provide legal analysis and guidance to company/agency leadership and           advising non-legal staff, technical personnel, or business units.  
4.    One (1) year of professional procurement-related experience in the public or private sector. 
5.    One (1) year of professional legal experience in matters involving administrative law, regulatory law, legislation, or rulemaking.   
6.    One (1) year of professional legal experience in Freedom of Information Act (FOIA) matters or similar matters involving open record laws.  
7.    One (1) year of professional legal experience in ethics, compliance, or investigation-related matters.  
8.    One (1) year of professional experience working on matters involving data privacy.  
9.    One (1) year of professional experience working on matters involving cybersecurity.   

10. One (1) year of professional experience working on matters involving intellectual property.
